Terms & Conditions
General terms of sale and delivery for business customers.
Scope
These General Terms of Sale and Delivery apply to all offers, contracts and deliveries of Blackwyse GmbH, Stresemannstraße 86, 22769 Hamburg (“Blackwyse”) to businesses within the meaning of § 14 BGB (“the customer”). Our offers are directed exclusively at businesses. Deviating terms of the customer apply only if we have agreed to them in writing.
Offers and contract
Our catalogue, website content and price information are non-binding. A contract is concluded when we confirm the order in writing (including by email) or deliver the goods. We reserve the right to correct obvious errors.
Prices and payment
Prices are net prices in euros plus statutory VAT, plus transport and packaging costs unless stated otherwise in our offer. Unless agreed otherwise, invoices are payable within 14 days of the invoice date without deduction. If the customer is in default, we may charge default interest at the statutory rate.
Delivery and risk
Delivery times and shipping terms are agreed individually in the offer, where applicable by reference to Incoterms® 2020. Partial deliveries are permitted if reasonable for the customer. Risk passes to the customer as set out in the agreed delivery terms. Delays caused by force majeure, customs or supplier failure extend the delivery period appropriately.
Inspection and notice of defects
The customer must inspect the goods without undue delay after delivery (§ 377 HGB). Visible defects and transport damage must be reported in writing without undue delay and, for perishable and frozen goods, within 48 hours of receipt, with photographs where possible. Hidden defects must be reported without undue delay after discovery.
Warranty
Statutory warranty rights apply, subject to proper notice of defects. At our choice we cure the defect by repair or replacement. If this fails, the customer may reduce the price or withdraw from the contract.
Retention of title
Delivered goods remain our property until all claims from the business relationship have been paid in full. The customer may resell the goods in the ordinary course of business and assigns the resulting claims to us as security.
Liability
We are liable without limitation for intent, gross negligence, injury to life, body or health, and under the Product Liability Act. For slight negligence we are liable only for breach of essential contractual obligations and limited to the typical, foreseeable damage. Any further liability is excluded.
Data protection
We process personal data in accordance with our Privacy Policy.
Governing law and jurisdiction
German law applies; the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded. Where permitted, the place of jurisdiction is Hamburg, Germany.
Severability
If any provision is or becomes invalid, the remaining provisions stay in effect.
